Dressel International excels in designing with simplicity, engineering with clarity, and marketing with style. Our services are tailored to meet your specific needs, encompassing product commercialization, digital transformation, and operational and service best practices. We prioritize the use of open source software solutions and leverage open source large language models in our design, development, software implementation, and digital marketing efforts, including e-commerce solutions. It should be noted that our expertise extends to optimizing operations and services based on best practice principles and can provide significant benefits and cost savings.

 

Payments and Fees
At Dressel International, we provide valuable services to our clients, and it's important to transparently communicate our fees and payment terms. When you engage our services, we will clearly outline the applicable fees and payment terms. Unless otherwise agreed upon, all fees are due and payable within 30 days of receiving the invoice. We believe in fostering a transparent and mutually beneficial relationship with our clients, and our fee structure reflects this commitment to clear communication and fairness.

 

Intellectual Property
All the content and materials developed through our services, such as design, text, graphics, images, and software configurations, developed software applications are in principle eligible for protection under intellectual property laws, and can be filed for if and when agreed in writing.  You are however prohibited from copying, reproducing, implementing, or distributing any of the content or materials to third parties, or from creating derivative works based on them.

 

Confidentiality and Confidential Information
Confidential Information means information that is disclosed: 

  1. by a party to this Agreement (the Discloser) or on the Discloser’s behalf by its authorised representatives or its Affiliates,
  2. to the other party to this Agreement (the Receiver), its Affiliates or Permitted Receivers, and 
  3. in connection with the Purpose.

Affiliates means any:

  1. entity that directly or indirectly controls, is controlled by, is under common control with or is otherwise in the same group of entities as a party to this Agreement, or
  2. fund or limited partnership that is managed or advised, or whose general partner or manager is managed or advised, by the Receiver or its Affiliate or which the Receiver or its Affiliate controls. 

Permitted Receivers means the Receiver’s Affiliates and the Receiver’s or its Affiliates’ officers, employees, members, representatives, professional advisors, agents and subcontractors.

Confidential Information does not include information that is:

  1. in the public domain not by breach of this Agreement, 
  2. known by the Receiver or its Permitted Receivers at the time of disclosure, 
  3. lawfully obtained by the Receiver or its Permitted Receivers from a third party other than through a breach of confidence, 
  4. independently developed by the Receiver, or 
  5. expressly indicated by the Discloser as not confidential.

 

Disclaimer of Warranties
Our services are provided on an "as is" and "as available" basis. We do not warrant unrealistic expectations, nor do we guarantee uninterrupted, timely, secure, or error-free service. Unless specifically specified by either party, there are no representation warranties of our services

 

Limitation of Liability
Neither Dressel International nor its affiliates, including Visioning Design, licensors, or service providers, will be held liable for any indirect, incidental, special, or consequential damages arising from or in connection with the services provided. This encompasses, but is not limited to, any foreseeable damages, even if the risk or possibility of such damages has been advised, unless agreed upon in writing by both parties.

 

Indemnification
By using our services, you agree to indemnify and hold harmless Dressel International, its affiliates, licensors, and service providers from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) that may arise from your use of our services or any breach of the terms of service.

 

Governing Law and Jurisdiction
The terms of service will be governed by and interpreted in accordance with the law, without giving effect to any principles of conflicts of law. Any legal action or proceeding arising from or relating to these terms of service shall be filed in the local courts where the services are performed, and by using the services, you consent to the jurisdiction of such local courts.

 

Changes to Terms of Service
We reserve the right to modify or update these terms of service at any time without prior notice. Your continued use of our website or services after any such changes constitutes your acceptance of the revised terms of service.
